Agency develops a Memorandum of Understanding to refer or accept referrals from/to Specialized Services	Specialized Services contributes to the MOU, their agreed upon organizational practices, policies and procedures to facilitate referrals to/from Parent Company
Agency spells out referral process including expected deliverables and time frames and agency contacts in MOU to facilitate the Specialized Services referral to/from	Both spell out conditions for addendums to the MOU and grounds for adjusting/terminating/extending the MOU in the MOU

Usually Memorandums of Understanding have a hold harmless clause because they do not involve the exchange of direct commerce other than indirects

The MOU however, could spell out the engaged parties' responsibilities for damages incurred to each other's properties

MOU's can also spell out all parties' liability coverage obligations

Patient/Client may have to find the Specialized Services organization themselves unless the MOU defines any locating assistance processes/procedures
